Welcome to Orderly. These Terms of Service govern your access to and use of Orderly’s websites, software platform, mobile or web applications, services, support, subscriptions, hardware-related services, and related features.

By creating an account, starting a free trial, using the Orderly platform, subscribing to a paid plan, purchasing hardware, or accessing any Orderly service, you agree to these Terms. If you do not agree with these Terms, you should not use Orderly.

1. About Orderly

Orderly is a food business management software platform for restaurants, bakeries, butcheries, cafés, lounges, hotels, cloud kitchens, food courts, caterers, and food brands.

Orderly helps food businesses manage POS, online ordering, QR table ordering, staff shifts, inventory, digital receipts, reports, customer orders, payments, AI-powered insights, hardware workflows, and other business operations.

3. Eligibility and Account Registration

You must be able to enter into a legally binding agreement to use Orderly. If you are using Orderly on behalf of a business, you confirm that you have authority to create the account and accept these Terms on behalf of that business.

You agree to provide accurate account, business, contact, and billing information. You are responsible for keeping your login credentials secure and for all activity that happens under your account.

If you create staff accounts, waiter accounts, cashier accounts, kitchen accounts, manager accounts, or admin accounts, you are responsible for assigning the correct permissions and ensuring your team uses the system properly.

4. Free Trial

Orderly may offer a free trial for new users. The current free trial period is 7 days. No card or upfront payment is required to start the free trial.

During the free trial, you may access selected Orderly features for evaluation. At the end of the trial, access to some features may be restricted unless you subscribe to a paid plan.

If the trial expires, your account may still access limited basic functionality, such as viewing subscription options, purchasing a subscription, updating account details, or contacting support.

Orderly may change, suspend, extend, or withdraw free trial offers at any time, provided this does not affect users who already have an active trial unless required for abuse prevention, security, or system integrity.

5. Subscriptions and Billing

Orderly is offered through monthly subscriptions, yearly subscriptions, and custom enterprise pricing where applicable.

Your subscription may include access to software features, updates, support, and selected platform functionality depending on the plan you choose.

Subscription fees are billed according to the plan selected. Yearly plans may offer discounted pricing compared to monthly billing. Enterprise pricing may be customized based on branches, users, modules, hardware needs, support requirements, integrations, or special implementation needs.

You are responsible for paying all applicable fees, taxes, transaction charges, payment gateway charges, and other amounts associated with your subscription or purchases.

If payment is not received on time, Orderly may restrict, suspend, downgrade, or terminate access to paid features until payment is completed.

6. Payment Methods

Orderly may support payments through third-party payment providers, including M-Pesa through Paystack, Stripe, PayPal, or other supported payment gateways.

Payment processing may be handled by third-party providers. Your use of those payment methods may be subject to the terms, fees, processing rules, settlement timelines, and privacy policies of the relevant payment provider.

Orderly is not responsible for delays, failed transactions, payment reversals, gateway downtime, chargebacks, account restrictions, or issues caused by third-party payment providers.

7. Hardware, Devices, and Installation

Orderly may sell, recommend, configure, or support hardware separately from the software subscription. Hardware may include tablets, POS terminals, receipt printers, kitchen printers, barcode scanners, cash drawers, routers, QR table stands, power backup devices, and related accessories.

Hardware is sold separately unless expressly included in a written package or invoice. Installation, setup, delivery, configuration, training, or support fees may apply.

Hardware warranties depend on the relevant manufacturer, supplier, or distributor. Orderly does not provide a separate warranty unless expressly stated in writing.

Damage caused by misuse, negligence, power issues, liquid damage, physical damage, unauthorized repair, wrong installation, or use outside manufacturer instructions is not covered by Orderly.

You are responsible for maintaining your own devices, internet connection, power supply, printers, network equipment, and hardware environment unless you have a written support or maintenance agreement with Orderly.

8. Client Responsibilities

You are responsible for how your business uses Orderly. This includes:

  • Entering accurate business, menu, pricing, tax, staff, inventory, and customer information.
  • Training your staff to use the platform responsibly.
  • Protecting account credentials and device access.
  • Reviewing orders, payments, reports, receipts, and inventory records for accuracy.
  • Complying with applicable laws, tax obligations, employment obligations, consumer protection rules, and industry regulations.
  • Maintaining reliable internet, devices, printers, routers, and power backup where needed.

Orderly provides tools to help manage your business, but you remain responsible for business decisions, pricing, accounting, tax filings, staff management, customer service, and operational outcomes.

9. Acceptable Use

You agree not to misuse Orderly. You must not:

  • Use Orderly for illegal, fraudulent, harmful, or abusive purposes.
  • Attempt to access another business’s account, data, dashboard, or records.
  • Interfere with the security, performance, or availability of the platform.
  • Upload malicious code, viruses, spyware, or harmful files.
  • Reverse engineer, copy, resell, sublicense, or exploit the software without permission.
  • Use the platform to send spam, deceptive messages, or unlawful communications.
  • Use false business information or impersonate another person or business.
  • Bypass permissions, subscription limits, usage restrictions, or security controls.

10. Data Ownership and Use

You own the business data you enter into Orderly, including your sales records, orders, inventory data, staff activity, reports, customer order details, menus, and business information.

By using Orderly, you give us permission to host, process, transmit, analyze, back up, and use your data as necessary to provide, secure, maintain, support, improve, and develop the service.

Orderly may use aggregated, anonymized, or de-identified data to improve platform performance, analytics, AI insights, reporting, product development, and service quality. Such data will not reasonably identify your specific business or customers.

You are responsible for ensuring that any customer, staff, or business data you enter into Orderly is collected and used lawfully.

11. Privacy and Data Protection

Orderly handles business and personal data such as account details, staff information, customer order details, payment-related records, sales activity, inventory data, and support communications.

We aim to process personal data responsibly and in line with applicable data protection principles. 12. AI Reports and Business Insights

Orderly may provide AI-powered reports, summaries, recommendations, forecasts, or insights based on business data such as sales, inventory, orders, staff activity, payments, and trends.

AI insights are provided to support business decision-making, but they are not guaranteed to be complete, accurate, or suitable for every situation. You should review AI-generated insights before relying on them.

Orderly is not responsible for business losses, wrong decisions, pricing changes, staffing decisions, purchasing decisions, tax decisions, or operational actions taken based on AI-generated outputs.

13. Tax, KRA, and eTIMS

Orderly may provide tax-friendly reports, digital receipts, payment summaries, and organized sales records to help businesses maintain better records.

KRA/eTIMS-related features are currently under development unless expressly stated otherwise. Orderly does not guarantee that any report, receipt, or feature alone satisfies your tax obligations.

You are responsible for your own tax registration, tax reporting, tax filing, eTIMS compliance, accounting records, and any obligations owed to the Kenya Revenue Authority or other authorities.

You should consult a qualified accountant, tax adviser, or legal professional for tax compliance advice.

14. Third-Party Services and Integrations

Orderly may integrate with or rely on third-party services such as payment gateways, messaging providers, hosting providers, analytics tools, communication systems, tax systems, or hardware providers.

We are not responsible for the availability, performance, pricing, policies, errors, downtime, security incidents, or service limitations of third-party providers.

Your use of third-party services may be subject to their own terms and privacy policies.

15. Service Availability and Updates

We aim to keep Orderly stable and available, but we do not guarantee uninterrupted, error-free, or always-available service.

Orderly may experience downtime due to maintenance, updates, internet issues, hosting issues, third-party outages, security incidents, bugs, power failures, payment provider issues, or events outside our control.

We may update, improve, add, remove, or modify features from time to time. Where possible, we aim to make changes in a way that improves stability, performance, security, and user experience.

16. Support

Support may be provided through email, phone, WhatsApp, knowledge base, documentation, training material, or other channels offered by Orderly.

Support availability may depend on your subscription plan, working hours, issue severity, and whether the issue relates to software, hardware, third-party services, or customer-side setup.

Support does not include unlimited custom development, accounting services, tax advice, legal advice, hardware repair, network repair, or third-party service support unless expressly agreed in writing.

17. Suspension and Termination

Orderly may suspend, restrict, or terminate your account or access to the service if:

  • You fail to pay subscription or service fees.
  • You violate these Terms.
  • You misuse the platform or attempt unauthorized access.
  • Your account creates a security, fraud, legal, or operational risk.
  • You use the service for unlawful or abusive activity.
  • We are required to do so by law, regulation, court order, or authority request.

You may stop using Orderly at any time. Ending your use of the platform does not automatically cancel outstanding invoices, unpaid fees, hardware balances, setup fees, or other obligations already incurred.

18. Refunds and Cancellations

Subscription cancellations, refunds, credits, and billing adjustments are handled according to the plan, invoice, offer, or written agreement applicable to your account.

Setup fees, installation fees, onboarding fees, hardware payments, custom development fees, and third-party costs may be non-refundable once work has started, services have been delivered, or hardware has been supplied.

Refund requests may be reviewed case by case. Approval of a refund in one case does not mean refunds will be available in all cases.

19. Intellectual Property

Orderly, including its software, design, features, workflows, branding, logos, documentation, content, source code, interface, and related materials, is owned by Orderly or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use Orderly according to your subscription and these Terms. You do not receive ownership of the software or platform.

You may not copy, modify, distribute, resell, reverse engineer, or create competing products from Orderly without written permission.

20. Limitation of Liability

To the maximum extent permitted by law, Orderly will not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profits, loss of revenue, loss of stock, loss of data, loss of customers, interruption of business, or loss caused by reliance on reports, AI insights, third-party services, or user error.

Orderly’s total liability for any claim related to the service will be limited to the amount you paid to Orderly for the relevant service during the three months before the event giving rise to the claim, unless applicable law requires otherwise.

21. Disclaimers

Orderly is provided on an “as is” and “as available” basis. We do not guarantee that the platform will meet every business need, operate without interruption, be error-free, or produce perfect reports, predictions, tax records, or business outcomes.

You are responsible for reviewing your business records, reports, tax filings, staff activity, inventory data, and operational decisions.

22. Changes to These Terms

We may update these Terms from time to time. When we make changes, we may update the “Last updated” date above and may notify users through the website, platform, email, or other reasonable means.

Continued use of Orderly after changes become effective means you accept the updated Terms.

23. Governing Law

These Terms are governed by the laws of Kenya.

If a dispute arises, both parties agree to first attempt to resolve the matter in good faith. If the dispute cannot be resolved informally, it may be handled through the appropriate courts or dispute resolution processes in Kenya.
